The ZR-1 Net Registry is looking for a Merchandise Director. The Executive Committee of the ZR-1 Net Registry currently consists of eight members. The Bylaws specify that there should be nine members, The position that needs to be filled is the Merchandise Director. The new Merchandise Director will be approved by the Executive Committee and will serve for two years as a full voting member of the Executive Committee. You must be a ZR-1 Net Registry member to be considered for this position. The Merchandise Director is responsible for the development, design, procurement, display and sale of all merchandise that the ZR-1 Net Registry offers for sale in the Registry Store and at Registry events. The Merchandise Director is responsible for the operation of the ZR-1 Net Registry Store that is part of the ZR-1 Net Registry Website. Store operation includes establishing all policies and procedures for the Store including displaying merchandise, setting prices, inventory control, and shipping of merchandise. The Merchandise Director will coordinate with the Membership Director for the annual membership T-Shirts. The Merchandise Director will coordinate with the Treasurer regarding the financial operation of the ZR-1 Net Registry Store. Regarding President Jim Voter's request for a member volunteer to fill a position described as Merchandise Director.
Please find the following account in response to a question directed to Jim Voter, regarding the Executive Committee?s authority to create the position. I have responded to the question with approval by Jim and done so since I am the one who made the motion to create the position. Executive Committee Action Executive Committee Telecon Meeting of Jan 5, 2011 Motion by Vice President Jerry Downey: To appoint a temporary, additional Director, described as Merchandise Director. The measure will alleviate the possibility of a tie vote on business matters and also provide the additional help needed to handle Registry merchandise. Although a ninth Director is not specifically authorized within the bylaws, Jerry offered supporting information to pass the proposed motion and the need to insure business is handled efficiently until the bylaws can be revised. The appointment is only temporary for the duration of the existing term, i.e. two years. The motion was seconded, whereafter discussion was had. A vote was taken, with 8 votes in favor of the motion, 0 votes against. The motion was carried and is hereby formally adopted as a temporary practice of the Executive Committee. Recommendations for the appointment will be made to Jim Voter and then presented to the Executive Committee for approval. (Source: Meeting Minutes (minutes pending formal approval by Executive Committee)) Purpose To alleviate the possibility of action/decision tie votes of the Executive Committee, regarding business matters conducted on a daily basis between teleconference and physical meetings. To assign responsibilities to an additional Director which have been and are currently being shared by several Executive Committee members, in addition to their regular specified duties. Justification I The bylaws require a majority vote of the Quorum 5 members of the Executive Committee) for action/decisions. There are 8 Executive Committee positions. The problem arises when there are more than 5 Committee members present. All votes are valid and a tie can result.when 6 or 8 votes are cast. With 7 votes cast, 4-3, the possibility of a tie remains with the sole remaining vote. A 9th member of the Committee is needed to resolve possible tie votes. II Merchandise duties are presently distributed among 2 or 3 members who are already fulfilling their specified duties and creates an undue burden on those members. III Although merchandise duties are being conducted, the management of those responsibilities would be greatly improved by being placed in the care & custody of a single Executive Committee member. The result would be better service and less cost of doing business, as well as a better store for all members to enjoy. IV A previous administration also recognized the need for a Merchandise Director and went so far as to modify the bylaws to create the position. Realizing that bylaws required a vote of the general membership, the unauthorized revision was withdrawn. Authorization There are/have been 3 different sets of bylaws and one amendment which have at one time or another, been published to the ZR-1 Net Registry web site dated Sep 21, 04, Oct 8, 04, Apr 1,10. None of the revisions to the original bylaws were approved in accordance with the original bylaws. All of the bylaws contain numerous errors ranging from spelling to major operational. Considering the foregoing, it falls to the Executive Committee to consider the intent when necessary to properly conduct the business of the Registry. Example: Sep 21,04 Bylaws Article IV, Sec 1; includes a Treasurer to be elected. In Article IV, Sec 2; regarding nominations of officers, there is no mention of a Treasurer. Are we to therefore elect a Treasurer without nominations? Certainly not. The intent is clear. Article IV, Sec 6; allows the President to appoint a Director to fill the vacancy of a Director who fails/unable to complete his term, subject to the approval of the Executive Committee. This is the procedure being followed to create the "temporary" position of Merchandise Director. The action approved by the Executive Committee is a temporary practice of the Executive Committee, not a permanent position, nor is it a modification to the bylaws. Summary of Action The creation of the temporary position, ?Merchandise Director? is completely transparent, fully documented in the Executive Committee minutes and is without question a "no harm, no foul" action, with the sole purpose of serving the Registry with greater efficiency, and accountability. The position is offered to the volunteer member in good standing, with the best qualifications for the position. It is a practice of the current administration and not to be misconstrued as a permenant position until if and when the bylaws are properly modified accordingly. Personal Statement During my career, I have had the privilege of serving in several organizations, including the Marine Corps. The present members of the Executive Committee are outstanding individuals, with excellent knowledge and experience. They are aware of the tasks before them, to manage the Registry with the professionalism it deserves. Virtually every facet of the organization will receive attention to enrich the membership experience. Until the perfect set of bylaws are created, it will be necessary for your elected representatives, Officers and Directors, to collectively determine what actions and decisions are to be taken, to comply with the intent of bylaws as they exist and continually work to improve them. Such is the purpose of terms of office and elections.

We don't publish the Executive Committee meeting Agenda, simply due to the fact that some Agenda items may be set aside as for further study or some other reason and even dismissed. We do (will when we have some that have been approved by the Executive Committee) plan to publish the minutes of the Executive Committee meetings in the Members only section, after the approval process. The minutes will keep the general membership apprised of all actions taken & decisions made. Simply put, a draft of the last meeting minutes will be reviewed at the next meeting, modified if deemed necessary by the Executive Committee, then a motion made to accept, followed by a second and a vote. When the vote is in favor of adopting the minutes, they become a permenant part of the record. Only then will they be released. So, with monthly meetings, it will be 4 weeks later before they can be released. Figure a few days more to get them placed on the website. Jim has planned to have Executive Committee meetings monthly, at least until BG, and perhaps later if the need is still present.
